Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of the Platform by MPAC (“Marketplace Owner”), MPAC (“Connector”), any Solution Provider, Visitor (“You”) or other user. By accessing or using the Platform, you agree to these Terms.

1. Parties and Marketplace Role

The Platform is owned or operated by Marketplace Owner. The Platform may display, distribute, route, or facilitate access to offers, services, opportunities, or information from one or more Connectors and Solution Providers. The Platform is a marketplace, referral, advertising, lead generation, matching, and communication venue only unless expressly stated otherwise.

Neither Marketplace Owner nor Connector promise that any Solution Provider will contact you, be qualified, be suitable, offer favorable terms, remain available, or perform any services. Any transaction or relationship you enter into with a Solution Provider is solely between you and that party.

2. Connector-Specific Terms Override

If a Connector provides or links its own terms and conditions and/or privacy policy in connection with your interaction, those Connector-specific terms shall replace and substitute for these default Terms solely as between you and that Connector with respect to the applicable Connector-controlled interaction, communication, landing page, or data use, to the fullest extent permitted by law. These Terms shall otherwise remain in effect for Marketplace Owner, Solution Provider, and the Platform generally.

3. Eligibility

You represent and warrant that you are at least 18 years old, have legal capacity to enter into these Terms, and, if acting for a business or another person, have authority to bind that business or person.

4. No Advice; No Endorsement

All content, listings, rankings, match results, scores, recommendations, comparisons, and communications made available through the Platform are for general informational, marketing, lead-routing, and convenience purposes only. They do not constitute legal, tax, financial, investment, insurance, medical, or other professional advice.

Neither Marketplace Owner nor Connector endorse, verify, guarantee, or insure any Solution Provider, listing, service, quote, claim, or result.

5. User Submissions and License

Any information, form input, document, communication, feedback, testimonial, review, upload, creative material, inquiry, application, or other content you provide through or in connection with the Platform (collectively, “Submissions”) may be used by Marketplace Owner, Connector, and Solution Provider.

You grant Marketplace Owner, Connector, and each applicable Solution Provider, and each of their affiliates, licensees, successors, and assigns a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to host, store, copy, reproduce, modify, adapt, translate, publish, distribute, transmit, display, perform, create derivative works from, analyze, commercialize, and otherwise use your Submissions for any lawful purpose related to operation, promotion, analytics, lead generation, lead resale or relicensing where lawful, product improvement, compliance, dispute resolution, and monetization of the Platform, subject to applicable law and our Privacy Policy.

You represent and warrant that you have all rights necessary to provide the Submissions and that your Submissions do not violate law or third-party rights.

6. Consent to Communications; TCPA, SMS, AI, and Bot Communications

By submitting your information, you expressly consent to receive communications from Marketplace Owner, Connector, Solution Providers, and their respective affiliates, service providers, agents, and partners, by email, phone, SMS/MMS, auto dialer, artificial or prerecorded voice, chatbot, AI bot, virtual agent, AI-generated or AI-assisted call or message, ringless voicemail where lawful, push notification, and other manual, automated, or semi-automated means, regarding your inquiry and other products or services that may interest you, subject to applicable law.

You expressly consent, to the fullest extent permitted by law, to the use of bots, artificial intelligence systems, generative AI systems, voice agents, automated response tools, automated dialing technologies, and automated lead qualification or routing systems for advertising, telemarketing, prospecting, follow-up, scheduling, customer service, and related communications. Your wireless carrier’s standard rates may apply. Consent is not a condition of purchase where prohibited by law, and you may revoke consent as required by law using available opt-out methods, including replying STOP to applicable text messages where supported.

7. Acceptable Use Restrictions

You agree not to:

  1. use the Platform for any unlawful, fraudulent, abusive, defamatory, harassing, or misleading purpose;
  2. submit false, incomplete, outdated, or misleading information;
  3. impersonate any person or entity or misrepresent affiliation;
  4. interfere with, disrupt, reverse engineer, scrape, crawl, frame, mirror, or compromise the Platform or its systems;
  5. bypass access controls, rate limits, or security measures;
  6. upload malware or harmful code;
  7. use the Platform to collect, harvest, or compile information about others except as expressly authorized;
  8. infringe intellectual property or privacy rights; or
  9. use the Platform in any manner that could create liability or regulatory exposure for Marketplace Owner, Connector, or Solution Provider.

8. Accuracy of Information and Your Responsibility

You are solely responsible for verifying any product, service, provider, quote, pricing, terms, legal compliance, credentials, and suitability for your needs. You assume all risk arising from reliance on any content or any interaction with any Connector or Solution Provider.

9. Marketplace Owner Rights

Marketplace Owner may, at any time and in its sole discretion, without notice or liability:

  1. modify, suspend, restrict, or discontinue any part of the Platform;
  2. accept, reject, rank, prioritize, suppress, or remove any listing, lead, user, Connector, or Solution Provider;
  3. monitor, review, record, preserve, access, disclose, or remove any Submissions or communications;
  4. re-route, duplicate, distribute, or decline leads or inquiries;
  5. establish or change pricing, eligibility criteria, categories, display logic, or commercial terms; and
  6. enforce these Terms or cooperate with law enforcement or regulators.

10. Third-Party Relationships

The Platform may contain links to third-party websites, booking tools, forms, intake systems, payment processors, CRM systems, and other services. We do not control or assume responsibility for third-party content, services, availability, terms, policies, or acts or omissions.

11. Disclaimers

THE PLATFORM AND ALL CONTENT, SERVICES, COMMUNICATIONS, TECHNOLOGY, AND MARKETPLACE FUNCTIONALITY ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARKETPLACE OWNER AND CONNECTOR DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, NEITHER MARKETPLACE OWNER NOR CONNECTOR WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, FREE OF MALWARE, OR THAT ANY DEFECTS WILL BE CORRECTED, OR THAT ANY LEAD, INQUIRY, MATCH, RECOMMENDATION, CONVERSION, OR BUSINESS RESULT WILL OCCUR.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOTH CONNECTOR AND MPAC, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, OWNERS, EMPLOYEES, CONTRACTORS, AGENTS, PARTNERS, LICENSORS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE PLATFORM, THESE TERMS, OR ANY INTERACTION WITH ANY CONNECTOR OR SOLUTION PROVIDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF MARKETPLACE OWNER AND CONNECTOR FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNT, IF ANY, PAID BY YOU DIRECTLY TO SOLUTION PROVIDER IN THE ONE (1) MONTH PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU TO THE MINIMUM EXTENT PROHIBITED BY LAW.

13. Indemnification

You agree to defend, indemnify, and hold harmless Marketplace Owner and Connector and each of their affiliates, officers, directors, owners, employees, contractors, agents, successors, and assigns from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  1. your access to or use of the Platform;
  2. your breach of these Terms;
  3. your violation of law or third-party rights;
  4. your Submissions;
  5. your dealings with any Connector or Solution Provider; or
  6. any false, incomplete, outdated, or misleading information you submit.

14. Termination

We may terminate or suspend your access to the Platform immediately, with or without cause, notice, or liability, in our sole discretion. Upon termination, provisions that by their nature should survive shall survive, including ownership, licenses, disclaimers, limitations of liability, arbitration, class waiver, indemnification, and governing law.

15. Intellectual Property

The Platform, including its design, text, graphics, interfaces, source code, databases, trademarks, service marks, trade dress, and other content, is owned by or licensed to Marketplace Owner and Connector and is protected by applicable intellectual property laws. Except for limited rights expressly granted, no rights are transferred to you.

16. Changes to Terms

We may update these Terms at any time in our sole discretion. Changes are effective upon posting or as otherwise stated. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by the laws of the State of Illinois, without regard to conflict-of-law principles, except to the extent superseded by applicable federal law or non-waivable consumer protection law.

18. Dispute Resolution; Arbitration; Class Action Waiver

To the maximum extent permitted by law, any dispute, claim, or controversy arising out of or relating to the Platform, these Terms, the Privacy Policy, or any interaction between you and Marketplace Owner and/or Connector shall be resolved exclusively by final and binding individual arbitration and not in court, except that either party may bring an individual claim in small claims court if eligible.

You and Marketplace Owner each waive any right to a jury trial and any right to participate in a class action, collective action, mass action, representative action, or private attorney general action. Arbitration shall occur before a single arbitrator under commercially reasonable rules selected by Marketplace Owner, unless otherwise required by applicable law.

If the arbitration provision is found unenforceable as to any claim, then that claim shall be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to personal jurisdiction and venue there.

Optional Opt-Out Clause: You may opt out of arbitration by sending written notice to MPAC at within thirty (30) days after first accepting these Terms. Your notice must include your full name, contact information, and a clear statement that you wish to opt out of arbitration.

19. Miscellaneous

These Terms, together with the Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and Marketplace Owner and Connector regarding the Platform. If any provision is held unenforceable, the remaining provisions remain in full force. Failure to enforce any provision is not a waiver. We may assign these Terms freely; you may not assign them without our prior written consent.
